1. ABOUT THESE TERMS

1.1 What these terms cover

These are the terms and conditions on which This is Sam Sheppard Ltd ("we", "us", "our") supplies the Introvert OS™ Workshop and related services ("Services") to you ("you", "your", "Client").

1.2 Why you should read them

Please read these terms carefully before purchasing. These terms tell you who we are, what Services you're purchasing, your rights, our rights, and other important information.

1.3 Changes to these terms

We may update these terms from time to time. The version applicable to your purchase is the version displayed at the time of purchase.

3. DEFINITIONS

"Workshop" means the Introvert OS™: Understanding Introversion live workshop, approximately 90 minutes in duration, delivered via Meet.

"Services" means the Workshop, plus access to the workshop recording for 14 days, PDF, and (if purchased) the optional Implementation Session.

"Implementation Session" means a 60-minute 1-1 session with the Coach, scheduled within 7 days of the Workshop date.

"Recording" means the video recording of the Workshop, available for replay for 14 days from the Workshop date.

"Client" means the person purchasing and/or receiving the Services.

"Coach" means Sam Sheppard, trading as This is Sam Sheppard Ltd.

4. ORDERING & ACCEPTANCE

4.1 How we accept your order

When you complete payment, you will receive an automated confirmation email. This email constitutes our acceptance of your order and forms a binding contract between you and us.

4.2 Age restrictions

You must be at least 18 years old to purchase the Services. By purchasing, you confirm you meet this requirement.

5. PRICING & PAYMENT

5.1 Prices

All prices are stated in GBP (£) and include VAT where applicable. Prices may change at any time, but the price you pay is the price displayed at the time of your order.

5.2 Payment

Payment is due in full at the time of purchase. We accept payment by credit/debit card via Stripe, PayPal and Apple Pay. All payments are processed securely through the relevant payment platform.

5.3 Failed payments

If payment fails, we reserve the right to cancel your registration. We are not responsible for failed payments due to insufficient funds, expired cards, or bank restrictions.

6. CANCELLATIONS & REFUNDS

6.1 Non-refundable purchase

All workshop purchases are final and non-refundable. Once you have purchased access to the Workshop, you are not entitled to a refund for any reason, including but not limited to:

  • Change of mind

  • Inability to attend the live Workshop (you will still receive replay access for 14 days and the PDF)

  • Technical difficulties on your end

  • Dissatisfaction with content

6.2 No cooling-off period

You explicitly agree that the Services begin immediately upon purchase (as you gain immediate access to the workshop booking information). By purchasing, you acknowledge that you waive your right to the 14-day cooling-off period under the Consumer Contracts Regulations 2013.

6.3 Cancellation by us

We reserve the right to cancel the Workshop in exceptional circumstances (e.g., illness, emergency). If we cancel:

  • You will receive a full refund, OR

  • You will be offered a place in the next available Workshop

This is our sole liability in the event of cancellation by us.

7. DELIVERY OF SERVICES

7.1 Workshop access

Upon purchase, you will receive:

  • Confirmation email with order details

  • Meet link for the live Workshop

  • Access instructions for materials

7.2 Workshop date

The Workshop will take place on the date and time specified in your order confirmation. We will send reminder emails 24 hours and 1 hour before the Workshop begins.

7.3 Recording access

The Workshop recording will be made available within 24 hours of the Workshop conclusion. You will have access to replay the recording for 14 days from the Workshop date. After 14 days, access will automatically expire and cannot be extended.

7.4 Materials

You will receive a PDF via email after the Workshop. This PDF is for your personal use only and may not be shared, reproduced, or distributed.

7.5 Implementation Session (if purchased)

If you purchased the optional Implementation Session:

  • You must schedule this session within 7 days of the Workshop date

  • The session must take place within 28 days of the Workshop date

  • Failure to schedule or attend forfeits your right to the session with no refund

8. YOUR RESPONSIBILITIES

8.1 Technical requirements

You are responsible for:

  • Having a stable internet connection

  • Having a device capable of accessing Meet

  • Having a working email address to receive communications

  • Testing your technology before the Workshop

We are not responsible for technical issues on your end that prevent you from accessing the Services.

8.2 Attendance

If you cannot attend the live Workshop, you may access the recording (available for 14 days). Non-attendance does not entitle you to a refund.

8.3 Punctuality

If you arrive late to the Workshop, you will not be entitled to additional time or a refund. The Workshop will proceed as scheduled.

8.4 Implementation Session scheduling

If you purchased an Implementation Session, you are solely responsible for scheduling it within the specified timeframe. Failure to schedule within 7 days, or attend within 28 days, results in forfeiture of the session with no refund.

9. INTELLECTUAL PROPERTY

9.1 Ownership

All content, materials, recordings, and intellectual property related to the Services remain the exclusive property of This is Sam Sheppard Ltd.

9.2 Personal use only

You may use the materials provided for your personal, non-commercial use only. You may not:

  • Share, distribute, or reproduce any materials

  • Record the Workshop (video or audio)

  • Share your Meet link with others

  • Upload recordings or materials to any platform

  • Use materials for commercial purposes

9.3 Recordings by participants

If you record the Workshop (video, audio, or otherwise) without express written permission, you:

  • Irrevocably transfer all intellectual property rights to us

  • Agree not to share, publish, or distribute such recordings

  • Will indemnify us for any damages resulting from breach of this clause

10. CONFIDENTIALITY & PRIVACY

10.1 Workshop confidentiality

The Workshop is a private group session. Participants are expected to maintain the confidentiality of what is shared by others during the Workshop.

10.2 Your information

We may share anonymised case studies or examples from the Workshop for marketing purposes, but your name and identifying information will not be disclosed without your written consent.

10.3 Data protection

We process your personal data in accordance with UK GDPR and our Privacy Policy (available upon request). By purchasing, you consent to our collection and use of your data as described in our Privacy Policy.

10.4 Email communications

By purchasing, you consent to receive:

  • Transactional emails (confirmations, reminders, access details)

  • Workshop-related updates

  • Information about our services and programmes

You may unsubscribe from marketing emails at any time via the unsubscribe link.

11. LIMITATIONS & DISCLAIMERS

11.1 Not a substitute for professional help

The Workshop and Services are educational in nature and are not a substitute for:

  • Medical treatment or advice

  • Psychological or psychiatric care

  • Legal advice

  • Financial advice

11.2 No guarantees

We do not guarantee, warrant, or represent that the Services will achieve any specific result for you. Results vary between individuals.

11.3 Your responsibility

You are solely responsible for:

  • Your actions, decisions, and choices during and after the Workshop

  • Seeking professional help if needed

  • Your own mental and physical wellbeing

11.4 Medical conditions

You represent and warrant that you are psychologically and physically well enough to participate in the Workshop. If you have pre-existing medical or psychological conditions, you participate at your own risk.

12. LIABILITY

12.1 What we are responsible for

We are responsible for foreseeable loss or damage caused by our breach of these terms or our failure to use reasonable care and skill. We do not exclude liability for:

  • Death or personal injury caused by our negligence

  • Fraud or fraudulent misrepresentation

  • Any other liability that cannot be excluded under UK law

12.2 What we are not responsible for

We are not liable for:

  • Technical issues on your end (internet, device, software)

  • Your inability to attend the Workshop

  • Loss of data or access due to your actions

  • Any business losses (loss of profit, business interruption, etc.)

  • Indirect or consequential losses

  • The Services not meeting your subjective expectations

12.3 Maximum liability

To the extent permitted by law, our maximum liability to you for any claims arising from your purchase shall not exceed the amount you paid for the Services.

12.4 Indemnity

You agree to indemnify and hold us harmless from any claims, damages, or losses arising from:

  • Your breach of these terms

  • Your use of the Services

  • Your actions during or after the Workshop

13. THIRD-PARTY SERVICES

13.1 Meet

The Workshop is delivered via Google Meet, a third-party platform. Your use of Meet is subject to Meet's terms of service and privacy policy. We are not responsible for Meet's performance or any issues arising from Meet's platform.

13.2 Payment processing

Payments are processed by Stripe, PayPal or Apple Pay. We do not store your payment card details. Your payment information is subject to the payment provider's terms and privacy policy.

14. GENERAL TERMS

14.1 Entire agreement

These terms, together with your order confirmation, constitute the entire agreement between you and us.

14.2 Changes to terms

Any changes to these terms must be agreed in writing between you and us.

14.3 Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force.

14.4 No waiver

Our failure to enforce any provision of these terms does not waive our right to enforce it later.

14.5 Assignment

We may transfer our rights and obligations under these terms to another party. We will notify you if this happens.

14.6 Third-party rights

No third party has any rights under these terms under the Contracts (Rights of Third Parties) Act 1999.

15. DISPUTES & GOVERNING LAW

15.1 Governing law

These terms are governed by the laws of England and Wales.

15.2 Jurisdiction

The courts of England and Wales have exclusive jurisdiction over any disputes arising from these terms.

15.3 Informal resolution

If a dispute arises, we encourage you to contact us first to resolve it informally before taking legal action.
